Terms of Service

1. Introduction and Acceptance

These Terms constitute a legally binding agreement between you and Profit Apps Enterprises (CAC: 9568752), Kaduna, Nigeria. By creating an account or using our products, you confirm that you are at least 18 years of age and agree to these Terms.

2. Nature of Service — Zero Custody

Profit Apps Enterprises is a software company. We do not hold, receive, transfer, or have access to any funds within AjoLedger circles. All financial transactions occur directly between users. We are not a bank, microfinance institution, or payment processor.

3. Eligibility

• You must be 18 or older to use any Profit Apps product
• You must provide accurate registration information
• You may maintain only one account per product
• You are responsible for all activity under your account

4. AjoLedger — Coordinator Obligations

• Coordinators pay a one-time Activation Fee to activate a Circle
• Refunds available within 7 days if the Circle has not activated
• No refunds after activation — service is considered rendered
• Coordinators must accurately record contributions and disburse funds as agreed
• Coordinators must not operate fraudulent, Ponzi, or pyramid schemes

5. AjoLedger — Member Obligations

• Members agree to contribute as agreed within their Circle
• Members must upload payment proof when required by Circle rules
• Members must not make fraudulent payment claims
• Members who receive loans or welfare draws agree to repay or use funds as agreed

6. Fees and Payments

Only AjoLedger Coordinators pay Activation Fees — Members pay nothing to join. ProfitTrack subscription fees apply as set out on profittrack.ng. All payments are processed by Paystack (PCI DSS certified). We do not store card or bank account details.

7. Disputes Between Users

Profit Apps Enterprises is not party to financial disputes between Coordinators and Members. We may provide Audit Log extracts as supporting evidence. We may suspend accounts under active fraud investigation. Report fraud to support@ajoledger.ng.

8. Prohibited Conduct

You may not use any Profit Apps product for:

• Ponzi or pyramid schemes, money laundering, or fraud
• Impersonation or misrepresentation
• Creating multiple accounts to circumvent rules or fees
• Any activity that violates Nigerian law

Violations may be reported to the EFCC, Nigerian Police Force, or NITDA.

9. Termination

• Immediate termination for fraud, illegal activity, or security risks — no notice required
• 14 days notice for other violations
• Activation fees are non-refundable after the 7-day window
• Audit Log records retained as required by law after termination

10. Limitation of Liability

Our products are provided as-is. Profit Apps Enterprises is not liable for loss of funds within circles, acts of Coordinators or Members, or indirect damages. Our total liability is capped at fees paid in the preceding 12 months.

11. Dispute Resolution and Arbitration

Disputes are first resolved informally within 30 days. Unresolved disputes go to binding arbitration under the Arbitration and Mediation Act 2023, conducted in Kaduna or Lagos under the Lagos Court of Arbitration Rules. Governed by the laws of the Federal Republic of Nigeria.

12. Changes to Terms

We may modify these Terms with 14 days notice by email and platform notice. Continued use after the effective date constitutes acceptance.
